Ponderosa AI – Early Adopters Program Terms & Conditions

1. Program Overview

Ponderosa AI (“Company”) is selecting up to three (3) established Spokane-area businesses (“Participants”) to receive complimentary access to AI integration services for a trial period of up to three (3) months (“Program”). The purpose of this Program is to provide Participants with an opportunity to explore AI and automation tools at no cost, while providing the Company with valuable feedback to help improve its offerings.

2. Eligibility

• Open to businesses located in Spokane County, Washington.
• Participants must be legally registered businesses with at least 3 employees.
• Participants must be considering or actively planning AI or automation adoption.
• Selection of Participants is at the sole discretion of Ponderosa AI.

3. Scope of Services

• Services provided during the Program will be determined jointly by Ponderosa AI and the Participant based on business needs and technical feasibility.
• Services may include, but are not limited to: workflow automation, AI integrations, process optimization, and related consultation.
• The value of services provided shall not exceed the equivalent of three (3) months of standard service offerings.

4. No Fees / No Obligation

• Participation is free of charge.
• At the end of the Program, Participants are under no obligation to continue as paying clients.
• Likewise, Ponderosa AI is under no obligation to extend free services beyond the agreed trial period.

5. Feedback Requirement

• In exchange for complimentary services, Participants agree to provide feedback, testimonials, and insights regarding the performance and impact of the AI integrations.
• With Participant’s consent, Ponderosa AI may use anonymized data or approved testimonials for marketing or promotional purposes.

6. Confidentiality

• Ponderosa AI agrees to maintain the confidentiality of Participant’s proprietary business information.
• Participants acknowledge that experimental features may be tested during the Program and agree not to disclose details of Ponderosa AI’s unreleased tools or methods without prior written consent.

7. Limitations & Disclaimers

• Ponderosa AI provides services “as-is” for trial purposes only, without warranties of any kind, express or implied.
• Ponderosa AI is not responsible for any business losses, damages, or disruptions arising from use of trial services.
• Participants remain fully responsible for all business decisions made during and after the Program.

8. Termination

• Either party may withdraw from the Program at any time, with written notice.
• Ponderosa AI reserves the right to discontinue services if a Participant engages in conduct that is unlawful, unethical, or incompatible with the Program’s intent.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington.

10. Acceptance

By participating in the Early Adopters Program, the Participant acknowledges and agrees to these Terms & Conditions.
